1. Agreement to Terms
By accessing or using agentplatform ("Service"), operated by agentplatform ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.
We may update these terms at any time. Continued use after changes constitutes acceptance. We will notify registered users of material changes via email.
2. Description of Service
agentplatform is a hosted platform for defining, deploying, and managing AI agents via configuration files. The Service includes:
- A hosted engine for running AI agents defined in HCL configuration
- A plugin marketplace for discovering, installing, and publishing plugins
- An agent template marketplace for sharing and deploying pre-configured agents
- SDKs and tools for developing plugins
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Deploy agents that generate, distribute, or facilitate harmful, abusive, or illegal content
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to build a competing product
- Exceed reasonable usage limits or abuse the Service in a way that degrades performance for others
5. Plugin Marketplace
For plugin users: Plugins are provided by third-party developers and by agentplatform. We host and run plugins on managed infrastructure, but we do not guarantee the accuracy, reliability, or safety of third-party plugin outputs. You are responsible for evaluating whether a plugin is appropriate for your use case.
For plugin developers: By publishing a plugin to the marketplace, you grant agentplatform a non-exclusive, worldwide license to host, run, and distribute your plugin through the Service. You retain ownership of your plugin code. You represent that your plugin does not infringe on any third-party intellectual property rights and complies with all applicable laws.
We reserve the right to remove any plugin from the marketplace at our discretion, including for violations of these terms, security concerns, or quality issues.
6. Agent Configurations
You retain ownership of your HCL configuration files and any custom logic you create. We do not claim intellectual property rights over your agent configurations.
Agent configurations may reference plugins from the marketplace. Your use of those plugins is subject to the terms set by the plugin developer and these Terms of Use.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
Data processed by your agents (user conversations, API requests, plugin inputs/outputs) passes through our infrastructure. We do not use your agent data to train models or for any purpose other than providing the Service, unless you explicitly opt in.
8. Payments and Billing
Certain features of the Service may require payment. Pricing is published on our website and may change with notice.
Plugin developers who monetize through the marketplace receive revenue based on usage, minus applicable platform fees. Payment terms and schedules are detailed in the Plugin Developer Agreement provided at the time of marketplace enrollment.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
We are not liable for any losses resulting from Service downtime or interruptions.
10. Intellectual Property
The Service, including its engine, infrastructure, design, and documentation, is owned by agentplatform and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that AI agent outputs will be accurate, appropriate, or error-free. You are responsible for reviewing and validating all agent outputs before relying on them.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTPLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these terms or for any reason with reasonable notice.
Upon termination, your right to use the Service ceases. You may export your configuration files before termination. Data retention after termination is governed by our Privacy Policy.
14. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
